1. Name and Legal Form
1.1 The entity shall operate under the name "Digital Nomad Hub" (hereafter referred to as "DNH"). 1.2 Digital Nomad Hub is established as a limited liability entity dedicated to providing services to digital nomads, freelancers, and remote professionals.
2. Purpose and Objectives
2.1 The primary purpose of DNH is to facilitate the integration of digital nomads and remote professionals into Poland by offering comprehensive support for legal, administrative, and professional matters. 2.2 The objectives of DNH include: - Assisting in the acquisition of necessary permits, such as work and residence permits, for its members. - Providing access to professional networks, resources, and opportunities for career and business development. - Offering business-to-business (B2B) support and services to members through a shared entity model. - Promoting Poland as a desirable location for remote professionals and highly skilled specialists.
3. Scope of Services
3.1 DNH shall provide services to its members, including but not limited to: - Legal and Administrative Assistance: Support in acquiring work and residence permits, handling taxes, and fulfilling compliance requirements. - Business Facilitation: Enabling members to operate under a B2B shared model, providing invoicing and payment processing services. - Relocation and Settlement Support: Assisting with accommodation, ZUS (social security) registration, bank account setup, and cultural integration. - Professional Networking: Organizing events and facilitating connections within Poland’s professional community. 3.2 DNH may offer additional services that align with its mission and the needs of its members.
4. Membership and Obligations
4.1 Membership in DNH is open to digital nomads, freelancers, remote professionals, and other interested individuals who fulfill application criteria set by DNH. 4.2 Members are required to: - Adhere to Polish laws and regulations, including those related to immigration, tax, and labor. - Provide accurate and timely information related to their residence and work permits. - Maintain compliance with DNH’s policies and standards.
5. Rights and Responsibilities of Members
5.1 Members have the right to: - Receive full access to services provided by DNH according to their membership terms. - Use the shared B2B model to invoice and receive payments for services rendered. - Request assistance and guidance on matters related to relocation and professional activities in Poland. 5.2 Members are responsible for: - Maintaining accurate records of all work and transactions conducted under the DNH platform. - Informing DNH of any changes in their status, such as relocation or change in service requirements. - Complying with DNH’s procedures for tax, legal, and immigration compliance.
6. Governance and Management
6.1 DNH shall be governed by a Board of Directors responsible for setting policies, overseeing operations, and ensuring adherence to this statute. 6.2 The Board of Directors shall appoint a management team responsible for the day-to-day operations and service delivery. 6.3 A customer support department staffed with immigration and legal experts will be maintained to assist members effectively.
7. Financial Provisions
7.1 DNH shall generate revenue through membership fees, service fees, and partnerships, with funds allocated towards operational costs and member services. 7.2 Members shall be responsible for timely payment of any fees associated with their membership and usage of services, including relocation packages, residence permits, and administrative support. 7.3 In the case of late or unpaid fees, DNH reserves the right to suspend or terminate services for the member in question.
8. Dispute Resolution
8.1 Any disputes arising from the services provided by DNH shall be resolved through mediation, with arbitration as a secondary option if mediation fails. 8.2 Members agree to comply with the dispute resolution process as outlined in the membership terms and conditions.
9. Modifications to the Statute
9.1 The Board of Directors reserves the right to amend this statute as necessary to reflect changes in operations, regulations, or member needs. 9.2 All amendments will be communicated to members, who shall agree to the updated terms by continuing their membership.
10. Termination of Membership
10.1 Membership may be terminated by the member or DNH, under circumstances including non-compliance with this statute, failure to pay fees, or engagement in illegal activities. 10.2 Upon termination, the member’s access to DNH services will cease, and all outstanding obligations must be fulfilled.
